ArsenalBio’s mission is to develop efficacious and safe cellular therapies for patients with chronic diseases, initially cancer. Reporting to the Chief Legal Officer, this role will be a key member of the Legal/IP Leadership Team. This role will work on diverse and complex legal and business issues that require excellent judgment, flexibility and creative/critical thinking with a practical and business-friendly approach. The ideal candidate has a strong background in the biotechnology/biopharma industry, supporting partnering, regulatory, clinical and commercial teams, and wants to expand their legal experience in a rapidly growing company. We are looking for someone who can learn fast, quickly gain trust, develop and implement solutions, appropriately analyze and manage risks, multi-task and communicate well. We seek a team member who wants to be fully integrated into every aspect of the company from research to corporate partnering to business execution. What You Will Do:Partner with the Chief Legal Officer to provide high quality, timely and practical legal advice and identify and resolve critical legal and business issues.Support the effective and efficient use, coordination, and management of outside counsel.Collaborate with counsel and provide advice to colleagues and leaders across the company and provide training where possible with respect to compliance policies, contract matters, applicable laws and regulations and company policies and procedures.Manage, structure, draft, review, negotiate and close various corporate transactions, including partnering and collaboration agreements with third parties in the field of biotech/biopharma.Keep informed of new laws, regulations, and industry trends affecting the company.Advise on the interpretation of legal documents and applicable laws and regulations in a manner that provides practical legal advice while properly managing risk to the organization.Draft and negotiate contracts, including master services agreements, clinical trial agreements, supply agreements, and material transfer agreements.Review presentations, press releases, website materials, brochures, and other company communications (internal and external).Help with general corporate matters.
What Will You Bring:Juris Doctor (J.D.) from an ABA-accredited law school and a minimum of 10+ years of relevant experience in pharmaceutical/biotechnology companies. Related experience from a law firm will be considered. Active member of a state bar in good standing.Sound business judgment and strategic and analytical thinking.Self-motivated, flexible and interested in learning and working on a wide range of legal matters in order to understand and advise the Company on the legal implications of its business strategy.Exceptional interpersonal, written and verbal communication skills, including the ability to communicate complex issues and concepts to non-attorneys.Excellent project management and negotiation skills.Highest degree of professionalism and ethical standards.Strong solution-oriented, problem-solving and decision-making skills with demonstrated ability to think creatively and devise solutions to challenging problems.Strong sense of accountability and ownership.Strong base of knowledge and experience advising clients on laws and regulations governing the biotechnology industry both in and outside the U.S., including FDA regulations, False Claims Act, Anti-Kickback Statute, Sunshine Act, OIG guidance, the PhRMA Code, HIPAA, and product liability laws, and similar laws.Experience working with all levels of management and key business stakeholders with a demonstrated ability to influence outcomes and effectively communicate legal risks to senior management and others, as well as an ability to cultivate internal relationships.Excellent organizational skills and able to work with a team to meet critical deadlines; flexible and capable of managing multiple projects simultaneously.Ability to develop and present an inclusive, diverse and welcoming environment and to treat all people in a culturally sensitive manner.
